Enterprise Vs Sdn Bhd

Which Business Structure is Right for You?

Choosing the right business structure is an important decision when starting or growing a business in Malaysia.

An Enterprise may be suitable for a smaller or simpler business, while a Sdn. Bhd. provides a separate corporate structure that may be more appropriate as your business grows, takes on greater risks, brings in investors or requires a more structured ownership arrangement.

Understanding the differences can help you decide what works best for your business.

Why Do Businesses Move to a Sdn. Bhd.?

The Business is Growing

Higher revenue, more employees, larger contracts and expanding operations may justify a more structured corporate setup.

New Partners or Investors are Coming In

A shareholding structure makes it easier to clearly define ownership between different shareholders.

They Want Limited Liability

A Sdn. Bhd. has a separate legal identity, helping distinguish the company's obligations from those of its shareholders.

They Want Business Continuity

The company continues to exist independently of changes to its shareholders or directors.

The Business is Becoming More Complex

Larger operations, financing arrangements, regulatory requirements and commercial relationships may benefit from a formal corporate structure.

Is Sdn. Bhd. Always Better? Not necessarily.

A Sdn. Bhd. comes with additional corporate responsibilities and costs.
Companies are required to maintain proper statutory records, appoint a Company Secretary, make statutory submissions and comply with ongoing requirements under the Companies Act 2016.
For a small business with simple operations, an Enterprise may still be sufficient.
The right structure depends on your business size, risk exposure, ownership plans, industry and future direction.

Can You Convert an Enterprise into a Sdn. Bhd.?

Technically, an Enterprise is not simply converted into a Sdn. Bhd.

A new Sdn. Bhd. is incorporated as a separate legal entity.
The business owner may then need to consider how the existing business operations, assets, contracts, licences, employees and other arrangements are to be transferred or transitioned to the new company, where applicable.
This should be properly planned rather than assuming everything under the Enterprise automatically moves to the new company.
